Welcome to DataSilo ("we," "our," or "us"). By accessing or using our website at datasilo.ai (the "Site") and our services, including Video Search and Summarization, ChefAI, and any other products we offer (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

DataSilo provides various AI-powered software services including:

• Video Search and Summarization: AI-powered video search, transcription, and summarization services
• ChefAI: AI-powered grocery shopping assistant with recipe generation and cart integration
• Additional services as may be offered from time to time

Our Services are provided on a subscription basis with various pricing tiers as described on our pricing pages.

3. Account Registration

To use our Services, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring you meet the minimum age requirement (18 years or older, or 13+ with parental consent)

4. Subscription and Payment

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Plan details are available on our product pages. All fees are in U.S. dollars unless otherwise stated.

4.2 Billing

Subscriptions are billed on a recurring basis (monthly or annually) depending on your selected plan. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

4.3 Free Trials

We may offer free trials for certain plans. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of your current billing period. We do not provide refunds for partial subscription periods, except as required by law or at our sole discretion.

You retain ownership of any content you upload to our Services ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your content solely to provide and improve our Services.

6.3 AI-Generated Content

Content generated by our AI services (such as recipe suggestions, video summaries, or transcriptions) is provided to you for your use. We do not claim ownership of AI-generated outputs, but you acknowledge that similar outputs may be generated for other users.

7. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as described in the Privacy Policy.

8. Third-Party Services

Our Services integrate with third-party providers including:

• Stripe for payment processing
• Google Gemini for AI capabilities
• Firebase for authentication and data storage
• Grocery store APIs (for ChefAI)

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of these third parties.

9. Disclaimers and Limitation of Liability

9.1 Service Availability

We strive to provide reliable Services, but we do not guarantee uninterrupted or error-free operation. The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

9.2 AI Accuracy

Our AI-powered features may produce inaccurate, incomplete, or inappropriate results. We do not guarantee the accuracy of AI-generated content, including but not limited to recipes, video transcriptions, or summaries. Users should verify important information independently.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATASILO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Unauthorized access, use, or alteration of your content
• Any errors, inaccuracies, or omissions in AI-generated content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless DataSilo and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to:

• Your violation of these Terms
• Your User Content
• Your use of the Services
• Your violation of any rights of another party

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and User Content
• You remain liable for all charges incurred before termination
• Provisions that should survive termination will remain in effect

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except where prohibited by law. You waive your right to a jury trial and to participate in a class action lawsuit.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Services. Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DataSilo regarding the Services.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
